Abstract: | 本文根據金融控股公司法的內容,由保險業觀點以策略形態分析法,就最攸關金融控股公司未來經營的集團總體策略及網絡定位策略為主軸,分析探討金融集團於成立控股公司前後應有的策略構想與選擇。本研究認為金融控股公司之設立以多家金融機構採共同股份轉換方式最為有利,並可視需要採二次轉換方式擴張。在綜效之追求上,各子公司之資源本質必須符合閒置、可共通使用與不可分割之特性,跨業才較有可能產生理想之經營綜效,而子保險公司與子銀行之合作則為跨業經營最大利基所在。此外,金融機構間將因金融控股公司法之實施,產生另一波異業結盟之壓力,保險業應妥善規畫並積極管理合作關係,以創造未來競爭優勢。 This article analyzes financial conglomerate corporate strategies after transferring to financial holding company. Furthermore, we will illustrate how a financial institute plans and leverages its network positioning strategy. The main findings of this article include: first, that the multiple-stock-transfer approach is the most efficient and economic method for setting up a financial holding company and that the second-stage-transfer approach is the best way to continue operations. Second, large bank and insurance subsidiaries are necessary in a holding company family in order to create synergy of cross-sector operation. Finally, the enforcement of new laws will escalate the pressures of cooperation with other financial institutes. Mapping structures of inter-organization network positioning strategy becomes very important. |
